Terms of Service

1. Acceptance of Terms

By accessing or using MCPCore ("the Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Acceptable Use Policy, and our Cookie Policy. Together, these documents form the entire agreement between you and HAFETECH LLC regarding the Service. If you do not agree to all of these Terms, do not use the Service.

The Service is operated by HAFETECH LLC ("MCPCore", "we", "us", or "our"), a limited liability company organised under the laws of the State of Wyoming, United States. These Terms apply to all users, including individual developers, organisations, and Enterprise customers.

2. Description of Service

MCPCore is a cloud-based platform for building, deploying, and managing Model Context Protocol (MCP) servers. The Service includes a JavaScript code editor, an AI-powered tool generation agent, a serverless execution runtime, analytics, access control tools, secret management, and related features as described on our website.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

You must create an account to use most features of the Service. You are responsible for:

  • Providing accurate and current registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether or not authorised by you
  • Notifying us immediately of any unauthorised access or security breach

You must be at least 18 years old to create an account. Accounts are for individual use and may not be shared between multiple individuals unless you are on an Enterprise plan with explicit written permission from HAFETECH LLC.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon the intellectual property rights of others
  • Build tools that scrape, spam, or harass third parties
  • Create or distribute malicious code, malware, or harmful content
  • Conduct denial-of-service attacks or disrupt the Service or third-party services
  • Reverse engineer, decompile, or otherwise attempt to extract the source code of the platform
  • Misrepresent the origin of data or impersonate any person or organisation
  • Use the Service in violation of a third-party API's terms of service
  • Attempt to access other users' accounts, data, or servers without authorisation
  • Use automated means to create accounts, generate artificial usage, or inflate metrics

5. Subscription Plans and Plan Changes

The Service is offered under multiple subscription tiers (e.g., Free, Basic, Pro, Enterprise), each with defined limits on the number of MCP servers, tool calls, log retention periods, and available features. The current plan details are published on our Pricing page.

Upgrades

You may upgrade your plan at any time. Upgrades take effect immediately. The price difference for the remainder of the current billing period will be prorated and charged to your payment method.

Downgrades

You may downgrade your plan at any time. Downgrades take effect at the end of the current billing period. Upon downgrade:

  • MCP servers: If you have more active servers than your new plan allows, all servers will be deactivated. You may then reactivate servers up to the limit of your new plan. Deactivated servers and their data are retained but no longer serve requests until reactivated.
  • Tool call quotas: Your monthly or yearly tool call quota will reset to the limit of your new plan. Any unused quota from the previous plan does not carry over.
  • Features: Access to features not included in the new plan (e.g., custom domains, advanced analytics) will be revoked at the time of downgrade.

It is your responsibility to ensure that your usage is within the limits of your chosen plan. We are not liable for any disruption to your services caused by a voluntary plan change.

6. Tool Call Limits and Overage Behaviour

Each plan includes a defined number of tool calls per billing period. When you approach your tool call limit, we will send email notifications at reasonable intervals (e.g., at 80% and 90% usage) to the email address associated with your account. It is your responsibility to monitor these notifications and take appropriate action.

Once your tool call limit is reached:

  • Subsequent tool calls will not be executed. Instead, a structured error response will be returned to the calling AI client indicating that the tool call quota has been exceeded and that the MCP server provider should be contacted.
  • We will not charge overage fees unless you have explicitly opted in to an overage billing arrangement under an Enterprise plan.
  • Your MCP servers will remain active and discoverable, but tool executions will be blocked until the quota resets at the start of your next billing period or you upgrade your plan.

HAFETECH LLC is not responsible for any consequences arising from tool call limit enforcement, including but not limited to disruption of AI workflows, end-user complaints directed at you, or downstream service failures. The email notifications are provided as a courtesy; failure to receive or read such notifications does not extend your quota or create any obligation on our part.

7. Billing, Payments, and Stripe

Paid plans are billed in advance on a monthly or yearly basis, depending on your selected billing cycle. All prices are in US dollars (USD) unless otherwise stated. Applicable taxes (including sales tax, VAT, or GST) may be added depending on your location and will be displayed at checkout.

Payment processing

All payment transactions are processed securely by Stripe, Inc. ("Stripe"). When you provide payment information, it is transmitted directly to Stripe via their PCI DSS Level 1 certified infrastructure. HAFETECH LLC does not store, process, or have access to your full credit card number, CVV, or other sensitive payment credentials. Your use of Stripe is subject to Stripe's Terms of Service and Stripe's Privacy Policy.

Subscription terms

  • Subscriptions renew automatically unless cancelled before the renewal date
  • You may cancel at any time from your dashboard; cancellation takes effect at the end of the current billing period
  • No refunds are provided for partially used billing periods unless required by applicable law
  • Failure to pay may result in suspension or termination of your account after a 7-day grace period
  • We reserve the right to change pricing with at least 30 days' notice; existing subscriptions will be honoured until the end of the current billing period
  • If a payment fails, we will attempt to retry the charge up to 3 times. If all attempts fail, your account may be downgraded to the Free plan

Free plan

The Free plan is provided at no cost and may be used indefinitely, subject to the limits and quotas described on the Pricing page. We reserve the right to modify or discontinue the Free plan with at least 30 days' notice.

8. Intellectual Property

Your content: You retain all ownership rights to the tool code, MCP server configurations, and data you create or upload. By using the Service, you grant HAFETECH LLC a limited, non-exclusive, worldwide, royalty-free licence to host, execute, cache, and process your content solely to provide and operate the Service. This licence terminates when you delete your content or your account.

Our platform: The MCPCore platform, including all software, user interfaces, APIs, documentation, branding, logos, and trademarks, is owned by HAFETECH LLC and protected by applicable intellectual property laws of the United States and international treaties. You may not copy, modify, create derivative works from, or distribute any part of the platform without our prior written consent. MCPCore™ is a trademark of HAFETECH LLC. All other trademarks, service marks, and trade names referenced on the platform are the property of their respective owners.

Open protocol: The Model Context Protocol (MCP) is an open standard. MCPCore is an independently developed commercial product that implements this protocol. MCPCore is not affiliated with, endorsed by, or sponsored by the creators or maintainers of the Model Context Protocol specification.

Feedback: If you provide us with suggestions, ideas, or feedback about the Service, you grant HAFETECH LLC a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such feedback into the Service without any obligation to you.

9. Third-Party Services and APIs

The Service allows you to build tools that connect to third-party APIs, databases, and services. You acknowledge and agree that:

  • HAFETECH LLC is not a party to any agreement between you and third-party service providers. Your use of third-party services through MCPCore is governed by the respective third party's terms of service and privacy policy.
  • We do not guarantee the availability, accuracy, or reliability of any third-party service.
  • We are not liable for any damages, losses, or costs arising from your use of, or inability to use, any third-party service through the platform.
  • You are solely responsible for ensuring that your tools comply with the terms and rate limits of the third-party APIs they access.
  • Credentials and API keys stored in MCPCore for third-party services are your property and your responsibility. We encrypt them at rest but are not liable for any misuse resulting from your tool code or configuration.

10. Service Availability and SLA

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance windows will be announced in advance where practicable.

Uptime SLA commitments, where applicable, are defined per plan on the Pricing page and apply only to the availability of the MCPCore platform itself, not to the availability or performance of third-party services your tools connect to.

We are not responsible for downtime caused by factors outside our reasonable control, including but not limited to internet outages, DNS failures, DDoS attacks, acts of government, or failures of third-party infrastructure providers.

11. Data and Security

We implement industry-standard security measures to protect your data, including TLS encryption in transit, AES-256 encryption at rest for secrets, and role-based access controls. For full details, see our Privacy Policy.

Data breach notification: In the event of a security breach that compromises your personal data, we will notify affected users as required by the Wyoming data breach notification statute (Wyo. Stat. §40-12-502) and any other applicable laws, no later than 45 days after determining that a breach has occurred. Notification will be sent to the email address associated with your account.

You acknowledge that no system is completely secure. HAFETECH LLC shall not be held liable for unauthorised access to your account or data resulting from your failure to maintain adequate security of your own credentials, devices, or systems.

12. Termination

We may suspend or terminate your account with immediate effect and without prior notice if you:

  • Violate these Terms, the Acceptable Use Policy, or any applicable law
  • Engage in fraudulent, abusive, or illegal activity
  • Pose a risk to the security, integrity, or availability of the Service or other users
  • Fail to pay amounts due after the applicable grace period

You may delete your account at any time from the dashboard settings. Upon termination or account deletion:

  • Your access to the Service ceases immediately
  • All active MCP servers are deactivated and cease serving requests
  • Your data (tool code, configurations, logs) will be deleted within 90 days, except where retention is required by law
  • No refund will be issued for the remaining portion of a billing period

Sections 8 (Intellectual Property), 9 (Third-Party Services), 13 (Disclaimer of Warranties), 14 (Limitation of Liability), 15 (Indemnification), and 16 (Governing Law) shall survive termination of these Terms.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, DATA, OR RESULTS GENERATED BY TOOLS CREATED ON THE PLATFORM, INCLUDING TOOLS GENERATED BY THE MCPCORE AI AGENT. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING THE OUTPUT OF YOUR TOOLS AND THEIR SUITABILITY FOR YOUR USE CASE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HAFETECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO HAFETECH LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION IN THE AGGREGATE, INCLUDING BUT NOT LIMITED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND ANY OTHER LEGAL OR EQUITABLE THEORY.

15. Indemnification

You agree to indemnify, defend, and hold harmless HAFETECH LLC, its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any rights of a third party, including intellectual property rights
  • Any tools you create, deploy, or operate through the Service, including any harm caused to third parties by such tools
  • Any data you process through the Service in violation of applicable data protection laws

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Informal resolution

Before filing any formal legal action, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

Arbitration

If the dispute is not resolved informally, you and HAFETECH LLC agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver

YOU AND HAFETECH LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or to address urgent security concerns.

17. Force Majeure

HAFETECH LLC shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet or telecommunications failures, cyberattacks, failures of third-party cloud infrastructure providers, or labour disputes.

18. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations of the United States. You may not use the Service or export any data or software from the Service in violation of US export laws, including to any country, entity, or person prohibited under US sanctions programmes.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Waiver

The failure of HAFETECH LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by HAFETECH LLC.

21. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and HAFETECH LLC regarding the Service and supersede all prior or contemporaneous agreements, understandings, or representations, whether written or oral.

22. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or through the Service with at least 14 days' notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
